The Active Search Program

 

Our experience indicates that many of the best acquisition opportunities are not on the market at all. These are businesses whose owners would consider selling if the right buyer came along. The key advantages: the companies identified are often a better fit for the buyer and, perhaps most importantly, the buyer is the first one look at it and the only one talking with its owner.

 

To access this hidden market, buyers can take advantage of Active Search service we offer.

Like our basic search program, we begin by identifying the specific business and financial characteristics of the company the buyer seeks. We then use different search techniques to identify ALL companies that meet the buyer’s criteria, and contact each of them directly. Of course, not every owner we contact is willing to sell, but some excellent companies typically are available.

Once we receive positive responses from the companies we targeted, we handle the following tasks:

  1. Qualify the opportunity
  2. Arrange a confidential introduction for the buyer

  3. Help value and structure the offer

  4. Negotiate terms

  5. Facilitate due diligence, and

  6. Assist in arranging financing as needed.

 

Examples of types of Active Search engagements include:

  • Working with a private investment group to acquire add-on acquisitions for a platform company in their portfolio.

  • Assisting a corporate/strategic buyer expand to new markets.

  • Working with a former, high-level executive to identify and acquire a company in a targeted industry.  

  • Working with a buyer wishing to purchase their first business.

The Active Search requires the buyer to pay a negotiated upfront retainer fee.

 

This fee is totally refunded should the buyer purchase a business through Bay Business Brokers. This arrangement creates the professional approach that maximizes the response we get from business owners.
